1. Who we are & acceptance of this Policy

This User Policy (“Policy”) governs your access to and use of the IRG-Eco platform and its associated interfaces, registries and services (the “Platform”), operated by Intech Research Group (“we”, “us”, the “Operator”). It combines, and replaces, any separate user policy and terms of use. By registering for, accessing, or using the Platform — and by marking your acceptance at registration — you (“you”, the “User”) agree to be bound by this Policy and by any disclaimers, programme rules and notices published on the Platform. If you do not agree, you must not register for or use the Platform.

2. Nature of the platform — what an IRG-FTR is and is not

The Platform records and administers contractual units referred to as Future Trade Rights (“FTRs”). An FTR is a blockchain-registered contractual right to obtain goods, services, assets or other entitlements from the party that created it, on the terms of the applicable programme. An FTR represents a contractual relationship and nothing more.

An FTR is not, and must not be treated by you as, any of the following: a security, share, debenture, bond or other capital-market instrument; a deposit; a collective investment scheme; a digital or crypto asset, currency, coin or token of the kind issued on public crypto networks; legal tender; a negotiable instrument; a payment instrument, wallet float, voucher or pre-paid instrument; or a unit of any pooled investment or fund. The Platform is a contractual record-keeping system, not an exchange, payment system, bank, fund or investment product.

3. No investment, no securities, no guaranteed return

  1. The Operator does not offer, solicit or facilitate any investment, and makes no offer of securities of any kind.
  2. No representation, assurance, projection or guarantee of profit, yield, appreciation, income or return is made by the Operator or by any person on its behalf, and you must not rely on any such statement if made.
  3. Any value associated with an FTR arises solely from the contractual terms of the party that issued it and from ordinary commercial demand, and may rise, fall or become unrealisable.
  4. You participate solely on your own independent assessment, having obtained such independent legal, tax and financial advice as you consider necessary.

4. Eligibility, registration & account security

  1. You must be of legal age and have the capacity to contract under the laws of India.
  2. You must provide true, complete and current information at registration and keep it accurate. False, misleading or impersonating information is a breach of this Policy.
  3. Identifiers you choose (such as a username or display name) must not contain restricted or impersonating words, must not suggest any official, authority or digital-investment character, and are subject to the Platform’s naming rules.
  4. You are responsible for safeguarding your credentials, one-time passwords (OTPs) and devices, and for all activity under your account. Notify us immediately of any unauthorised access.

5. Permitted use & prohibited conduct

You may use the Platform only for its intended purpose — to register, hold, transfer, redeem and otherwise deal with FTRs in accordance with the applicable programme terms and this Policy. You receive a limited, revocable, non-transferable right of use and no other right. You agree that you will not, and will not attempt to:

6. Roles, verification & the record-keeper principle

The Platform recognises participant roles and oversight roles. Oversight roles are granted by appointment and approval, not by self-selection. You may hold a role only after any required verification.

You acknowledge that, in respect of information you declare (including the nature of your business, your assets, or the underlying of any FTR), the Operator acts as a record-keeper and not as a guarantor, verifier, accreditor or adviser. The Operator does not vet, certify or warrant the accuracy of self-declared information, the solvency of any issuer, or the performance of any FTR. Reliance on any record is at your own risk.

7. Transactions, OTP & verification

Transactions take effect only when recorded in the Registry. Identity, mobile and email verification (including OTP by SMS or email) may be required at registration and at later points, and is subject to an aggregate rate-limit across all flows; access may be withheld until verification is complete. The Operator may decline, suspend or reverse a transaction where required to protect users, comply with law, or prevent fraud.

8. Risk disclosure & assumption of risk

You expressly acknowledge and assume the following risks, among others: that an issuer may fail to perform its redemption, buyback or recall obligations; that an FTR may fall in value, become illiquid or unrealisable; that market, operational, technological, regulatory and legal risks apply; that the regulatory treatment of these instruments may change; and that the Platform may be unavailable from time to time. You accept that you bear the full commercial risk of your participation.

9. Availability, changes & data from external sources

The Platform is provided on an “as is” and “as available” basis. The Operator does not warrant uninterrupted, error-free, secure or available operation, and may modify, suspend, or discontinue any feature on reasonable notice where practicable.

The Platform may display data obtained from external or third-party sources, including prices, references, exchange rates, identity or market data, and information supplied by other users or issuers. The Operator does not generate, verify, endorse or guarantee the accuracy, completeness or timeliness of such data, relays it on an “as is” basis, and accepts no liability for any reliance you place on it.

10. Fees, taxes & payments

  1. Fees and charges, where applicable, are as published on the Platform and may be revised on reasonable notice.
  2. You are solely responsible for determining and discharging all taxes and statutory levies arising from your activity. The Operator gives no tax advice and makes no representation on the tax treatment of any transaction.
  3. Payments are made through the channels designated on the Platform. You are responsible for the accuracy of payment details you provide.

11. Privacy & personal data

We process personal data in accordance with applicable Indian data-protection law, including the Digital Personal Data Protection Act, 2023 to the extent applicable. We collect the information necessary to register you, verify identity, operate the Platform, meet legal obligations, and communicate with you. We apply reasonable security measures, retain data only as long as necessary or as required by law, and do not sell your personal data. Where you provide others’ data, you confirm you are entitled to do so. A separate privacy notice, where published, forms part of this Policy.

12. Intellectual property

All intellectual property in and relating to the Platform — including its software, registries, methodologies, designs, trademarks and content — belongs to the Operator and its licensors, and is protected by law. You receive a limited, revocable, non-transferable right to use the Platform for its intended purpose only. No other right is granted.

13. Disclaimers & limitation of liability

The Platform is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, or uninterrupted or error-free operation, to the maximum extent permitted by law.

To the maximum extent permitted by law, and save in cases of fraud or wilful misconduct, the Operator and its directors, officers, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive loss, nor for any loss of profit, business, goodwill, data or opportunity, arising out of or in connection with your use of the Platform or any FTR. Nothing in this Policy excludes any liability that cannot lawfully be excluded.

13.1 Specific acknowledgements by the User

Without limiting the above, you expressly acknowledge and agree that the Operator shall not be liable, and you will bring no claim, in respect of:

Your sole and exclusive remedy for dissatisfaction with the Platform is to stop using it.

14. Indemnity

You agree to indemnify and hold harmless the Operator and its directors, officers, employees and agents from and against all claims, losses, liabilities, costs and expenses (including reasonable legal costs) arising out of or in connection with your use of the Platform, your breach of this Policy or of applicable law, your FTR activity, or any information you provide.

15. Cancellation of registration, suspension & termination

15.1 Right to cancel. The Operator may, at its discretion, suspend or cancel your registration and access to the Platform, in whole or in part, with immediate effect, on the ground of misuse of the Platform, or breach of this User Policy or of applicable law, including (without limitation) fraud, impersonation, market manipulation, prohibited conduct, repeated non-compliance, or conduct that may expose the Platform, the Operator or other users to legal, regulatory or reputational risk.

15.2 Restoration only via the Ombudsman. A User whose registration is suspended or cancelled may approach the Ombudsman for restoration. The Ombudsman may examine the matter and make a determination on restoration; such determination is administrative in nature.

15.3 No claim for damages or loss. Save for restoration through the Ombudsman as above, the User shall have no claim of any nature against the Operator (Intech Research Group) arising out of or in connection with such suspension or cancellation, and no claim for damages, loss, compensation, or any other relief shall lie against the Operator on account of the suspension or cancellation of registration. The User waives any such claim to the maximum extent permitted by law.

15.4 Effect of termination. On suspension or cancellation, your right to use the Platform ceases, save to the extent required for the orderly discharge of your surviving obligations. Obligations that by their nature should survive — including those relating to obligations owed to other users in respect of FTRs already issued, confidentiality, intellectual property, indemnity, limitation of liability, and dispute resolution — will survive. Rights and liabilities accrued up to the date of termination are unaffected.

16. Grievances, Ombudsman, governing law & disputes

For grievances, you may use the grievance mechanism published on the Platform, including reference to the Ombudsman where provided. An Ombudsman determination is temporary and administrative, is binding for the operational purposes of the Platform pending final resolution, and does not finally decide a dispute or preclude reference to arbitration. This Policy is governed by the laws of India. Subject to any binding arbitration provided in the applicable programme terms, the courts at Mumbai, Maharashtra shall have jurisdiction.

17. Acknowledgement

By marking your agreement at registration, you confirm that you have read and understood this Policy and the disclaimers provided; that you meet the eligibility requirements; that you understand an FTR is a contractual right and not an investment or security; that you accept the risks and the limitations of liability set out above; and that you understand the Operator may cancel your registration for misuse or breach, with restoration available only through the Ombudsman and no claim for damages or loss lying against the Operator.
